Recent CGA Transactions - 2010/2011

Infrastructure and Rail – Brazil and Middle East

CGA has recently concluded an alliance venture between a leading U.S.
railroad entity and a Brazilian company for the restoration of rail
lines in the north of Brazil, and the maintenance and construction of
new lines in central Brazil. CGA is currently negotiating similar
deals in the Gulf Cooperation Council (GCC) countries of Saudi Arabia,
Qatar, Bahrain and the United Arab Emirates.

Brazil Meeting with Secretary of Transportation

Meeting in Curitiba, Brazil with the Secretary of Transportation of the State of Parana', Secretary of Industry & Development for the State of Parana' and President of the Ferroeste Railroad in the state of Parana'.

Oil and Gas – Brazil, Mexico and Middle East

CGA initiated, negotiated and concluded an alliance between a leading
Houston-based manufacturer of offshore drilling equipment and a
partner in Brazil. These products are destined for sale to Petrobras.
Other similar deals are being negotiated in Mexico for eventual sale
to Pemex, and in Abu Dhabi.

Construction – Middle East

CGA has initiated and is in the process of negotiating and concluding
a venture for a large U.S.-based contractor in the field of soil
stabilization, foundations, sheeting and shoring. This deal involves
the conclusion of various strategic alliances with construction
partners in Qatar, Saudi Arabia, Bahrain, Kuwait, Oman and the United
Arab Emirates. This representation also involves the transfer of new
technology for foundational piling.

Construction Equipment – Middle East

CGA is presently negotiating deals for a leading United States
producer of concrete forming equipment. These deals involve strategic
alliances and joint venture agreements in the Kingdom of Saudi Arabia,
Qatar, Bahrain and the United Arab Emirates.

Automotive Manufacturing – Italy, France and United States

CGA recently concluded a foreign market penetration enhancement (sales
and export expansion) plan for an Italian manufacturer of automotive
components. This included assistance with growth sales and strategies
in the United States and France vis-à-vis both Original Equipment
Manufacturers (OEMs) and aftermarket customers.

Automotive Manufacturing – Brazil

CGA recently concluded a Foreign Acquisition Ranking (FAR) document
and analysis for a Michigan-based global leader in the manufacturing
and production of plastic injection molded components. Negotiations
are ongoing and are expected to lead to an extensive joint venture
and/or partial acquisition of a company in Brazil with similar
capabilities. This deal involves sales to OEMs in cars, light trucks
and heavy trucks in Latin America.

Beverage Industry – United States, Brazil and Europe

CGA has recently initiated, negotiated and concluded the first phase
of an alliance agreement between a global leader in the beverage
industry and a U.S.-based patent holder of aluminum can
heating/cooling technology. This involves an extensive technology
transfer and joint development deal based on achieved milestones.

Pharmaceutical – Middle East

CGA recently concluded an extensive Strategic Market Entry Analysis
(SMEA) for a leading U.S. biotech company that specializes in R&D and
is a leader in the development of potential cures for diabetes,
Alzheimer’s and heart disease. CGA also made a series of high-level
introductions for alliance and joint venture opportunities in the GCC
countries of Saudi Arabia, Qatar, Kuwait, Bahrain and the United Arab
Emirates.

Construction – Qatar and Brazil / World Cup and Olympics

CGA has completed a World Cup stadium construction and infrastructure
analysis for the countries of Brazil and Qatar for leading
architectural and engineering firms based in the United States. These
documents are related to upcoming construction and infrastructure
opportunities in Brazil for 2014/2016 and for Qatar in 2022.

Some Past Transactions

Berkel & Company (Kansas City, Kansas, Abu Dhabi, UAE, Jeddah, Saudi Arabia and Tripoli, Libya)

CGA currently represents Berkel & Company in its efforts to expand in the Middle East and North Africa Region (MENA).  In doing so, CGA has introduced Berkel to large contractors and developers in Saudi Arabia, Bahrain, Libya and the United Arab Emirates.  Berkel is now considered one of the foremost providers of auger pressure piling in North America and the MENA Region.

Dana Corporation (Toledo, OH) and C.F. Gomma (Brescia, Italy)

Initiated, negotiated and concluded the purchase/spin-off of Dana’s brake hose division, “Weatherhead.”  The transactional value was approximately $200 million.  Was an asset and stock transaction, and involved plants in the U.S., Germany and Argentina.

Kendan Manufacturing (Windsor, Ontario, Canada) and Gnutti Carlo S.p.A. (Brescia, Italy)

Initiated, negotiated and concluded the purchase of Kendan Manufacturing of Canada.  The transactional value was approximately $130 million (Canadian).  Was a stock purchase and involved factories throughout Ontario, Canada.

American Axle & Manufacturing (Detroit, Michigan) and the Government of Parana (Curitiba, Parana, Brazil)

Initiated, negotiated and concluded a $25 million incentive package for American Axle to establish operations in southern Brazil.  Also included the identification of joint-venture partners such as Hubner Manufacturing in Parana and Cinpal in Sao Paulo, as well as a city incentive program with Araucaria in Parana.

Rockwell/Meritor (Troy, Michigan) and Streparava S.p.A. (Brescia, Italy)

Initiated, negotiated and concluded a joint venture for the global manufacturing of front axle assemblies for heavy trucks.  The transactional value was approximately $80 million and lasted for several years.

The World Youth Soccer Academy© and Disney’s Wide World of Sports™ Complex (Orlando, Florida)

Initiated, negotiated and concluded a four year joint venture operation between the World Youth Soccer Academy (WYSA) and Disney’s Wide World of Sports Complex.  Involved and included an off-line camp operation as well as an on-line portal for registration.  Peripheral elements included a line of co-branded sports gear and a television program for children.

Pico Wisne (Livonia, Michigan) and Market Expansion in Brazil

Assisted in locating alliance partners and opening a subsidiary in Brazil.

Walbridge-Aldinger’s Expansion and Joint Venture in Europe

CGA/RGI initiated, analyzed and conducted in-depth negotiations with a variety of European construction and development partners in Germany, Belgium and Holland.  Walbridge is one of the world’s largest full service construction management companies.

Saint-Gobain Sekurit’s Market Entry into the U.S.

Headquartered in Paris, France, CGA/RGI initiated, analyzed and conducted in-depth negotiations for market expansion from Europe to the United States, for increased sales of automotive glass to OEMs in North America, and for the establishment of a warehouse and manufacturing plant in Michigan.

Fraccaroli Wine Group’s Expansion into North America

On behalf of Fratelli Fraccaroli in Verona, Italy, CGA/RGI initiated and concluded Fraccaroli’s market expansion in the U.S. and Canada, including a joint venture with the Andretti Wine Group in Napa Valley, California.

Pasta Rana’s Expansion into North America

CGA/RGI marketed Rana in the U.S. and assisted in its initial market penetration, including a PR campaign and food-tasting events in the Midwestern United States and Canada.  Pasta Rana, based in Verona, Italy, is the world’s leading manufacturer of fresh pasta products such as tortellini, tortelloni, gnocchi and ravioli.
